Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and PandaStack, Inc. (“PandaStack,” “we,” “us,” or “our”) governing your access to and use of our website, dashboard, APIs, SDKs, and managed sandbox and database services (collectively, the “Services”). By creating an account or using the Services, you agree to these Terms and to our Privacy Policy.
1. Eligibility and accounts
You must be at least 16 years old and able to form a binding contract to use the Services. You are responsible for the activity under your account, for keeping your credentials and API tokens confidential, and for promptly notifying us of any unauthorized use. You agree to provide accurate account information and to keep it current.
2. The Services
PandaStack provides isolated Firecracker microVM sandboxes and managed PostgreSQL databases for running code and AI-agent workloads. Sandboxes are ephemeral by default and are destroyed when their time-to-live expires or when deleted. Managed databases are durable until deleted; deletion is irreversible. We may modify, add, or discontinue features over time. Features labeled “beta” or “preview” are provided without any availability or support commitment.
3. Open-source software
The PandaStack platform is released under the Apache License 2.0. Your use of the open-source code is governed by that license. These Terms govern your use of our hosted Services at pandastack.ai, which are separate from the open-source license grant.
4. Acceptable use
You agree not to use the Services to:
- violate any law or infringe the rights of others;
- run cryptocurrency mining, denial-of-service tooling, spam, or large-scale unauthorized scanning or credential-stuffing;
- distribute malware or host content that is unlawful, infringing, or harmful, except in a bona fide, authorized security-research or sandboxing context;
- attempt to break out of sandbox isolation, access other tenants’ data, or circumvent resource limits, quotas, or billing;
- resell or provide the Services to third parties without our written consent.
We may suspend or terminate access for conduct that we reasonably believe violates these Terms or threatens the security or integrity of the Services.
5. Fees and billing
Paid plans are billed through Stripe according to the pricing shown at sign-up or on our pricing page. Usage-based charges are metered and billed in arrears. Fees are exclusive of taxes, which you are responsible for. Except where required by law, payments are non-refundable. We may change pricing prospectively with reasonable notice; continued use after a change constitutes acceptance.
6. Your content and responsibilities
You retain all rights to the code, data, and content you run or store using the Services (“Your Content”). You grant us a limited license to host, process, and transmit Your Content solely to operate and provide the Services. You are solely responsible for Your Content, for backing up data you cannot afford to lose, and for ensuring you have the rights to use it.
7. Intellectual property
Except for the open-source components and Your Content, the Services and all related software, documentation, and trademarks are owned by PandaStack or its licensors. These Terms do not grant you any right to our trademarks or branding without prior written permission.
8. Third-party services
The Services integrate with third parties such as Stripe, Supabase, Google Cloud Platform, Amazon Web Services, Cloudflare, and PostHog. Your use of those services may be subject to their own terms, and we are not responsible for third-party services.
9. Service availability
We strive to keep the Services available but do not guarantee uninterrupted or error-free operation unless a separate written service-level agreement applies to your plan. We may perform maintenance, impose rate limits, or throttle workloads to protect the platform.
10. Disclaimer of warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE SECURE, UNINTERRUPTED, OR ERROR-FREE.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PANDASTACK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.
12. Indemnification
You agree to defend, indemnify, and hold harmless PandaStack and its officers, employees, and agents from any claims, damages, and expenses (including reasonable legal fees) arising from Your Content or your use of the Services in violation of these Terms or applicable law.
13. Termination
You may stop using the Services and delete your account at any time. We may suspend or terminate your access for breach of these Terms, non-payment, or to comply with law. Upon termination, your right to use the Services ceases and we may delete your data after a reasonable period, except where retention is required by law.
14. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware will have exclusive jurisdiction over disputes, except that either party may seek injunctive relief in any court of competent jurisdiction.
15. Changes to these Terms
We may update these Terms from time to time. We will post the revised version with a new “Last updated” date and, for material changes, provide additional notice where appropriate. Your continued use of the Services after changes take effect constitutes acceptance.
